Public Offer for Providing Voluntary Charitable Donations
General Provisions
1.1. This public offer for providing charitable donations (from now on – the “Offer”), by Article 641 of the Civil Code of Ukraine, is an offer by the public organization “Vilni ta Virni” (Free and Faithful), legal entity identification code 45285030, located at Ukraine, Kyiv, 7, Kruhlouniversytetska St., Office 27, (from now on referred to as the “Organization”), represented by Chairman Vitalii H. Gersak, acting based on the Statute, to an indefinite number of capable individuals and private legal entities voluntarily engaged in charitable activities (each such person from now on referred to as a “Donor”) to agree to provide philanthropic donations (from now on referred to as the “Agreement”) under the terms described in this Offer with each Donor that responds.
1.2. This Offer becomes effective upon its posting on the Organization’s website on the Internet at https://viv.org.ua/ (from now on – the “Website”). This Offer is indefinite and may be amended or withdrawn by the Organization at any time (before its acceptance by a Donor) by posting relevant information on the Website.
1.3. The Organization may enter into agreements for providing charitable donations in a manner and under terms other than those provided in this Offer. The Donor may separately approach the Organization to enter into such an agreement.
Subject of the Agreement
2.1. The subject of this Agreement is the free and voluntary transfer by the Donor of monetary funds into the ownership of the Organization by making a charitable donation to support the Organization’s statutory activities. The Donor independently determines the size of the charitable donation. The Organization independently determines the directions of using the charitable donation within its statutory activities unless otherwise specified by the Donor in the manner provided by this Agreement. The subject of this Agreement does not include any direct or indirect profit-making by either party to the Agreement.
2.2. The transfer of monetary funds by the Donor under this Agreement is recognized as a charitable donation by Article 6 of the Law of Ukraine “On Charitable Activities and Charitable Organizations.”
2.3. At the Donor’s discretion, they may specify the intended use of the charitable donation by selecting among the programs (projects) or goals the Organization announces.
Organization’s Activities
3.1. The Organization engages in charitable activities by its Statute. The statutory goals of the Organization include, but are not limited to:
Enhancing the country’s defense and mobilization readiness in response to the military aggression by the Russian Federation;
Advocating initiatives to protect the rights and interests of veterans and their families at various levels, from national to international;
Creating and developing tools for ensuring veterans’ effective and active participation in decision-making related to national interests, security, reform, and modernization of the country;
Developing and implementing projects aimed at veterans’ reintegration into civilian life;
Developing and implementing projects for the psychological rehabilitation of veterans;
We are cooperating with private clinics to implement comprehensive rehabilitation programs for veterans.
3.2. The Organization’s activities are not aimed at generating profit.
3.3. The organization’s website posts information about its activities and reports on its results.
Donation Process
4.1. The Donor independently determines the amount of the charitable donation.
4.2. The charitable donation is voluntary and is not subject to a refund to the Donor.
4.3. By this Offer and the Agreement, charitable donations are provided by Donors and used by the Organization to conduct and support philanthropic activities (implementing directions, goals of charitable activities, and charitable programs) in accordance with its Statute and Ukrainian legislation. The Donor agrees to such use of their donation.
4.4. Methods for making charitable donations:
• One-time payment;
• Subscription, which includes monthly/annual payments in any amount.
This subscription can be canceled anytime through the user’s bank services (e.g., Privat24, Apple Pay, Google Play, etc.).
Rights and Obligations of the Parties
5.1. The Organization undertakes to use the Donor’s charitable donation funds in strict compliance with Ukrainian legislation and solely within its statutory activities.
5.2. The Organization has the right to independently determine the directions of using the charitable donation by its statutory activities and Ukrainian legislation, except in cases where the Donor has specified the intended use of their donation under a separate agreement with the Organization. Thus, if the Donor does not specify the intended purpose of the donation, it is considered that the donation is provided for the Organization’s statutory activities.
5.3. The Donor has the right to receive information about the use of their charitable donation. The Organization may post monthly financial reports on the Website, which include information about the donations received by the Organization during the reporting period and the Organization’s expenditures. Upon the Donor’s written request, the Organization may also confirm the targeted use of the donation with additional documents. The Organization provides access to reports on charitable contributions using the procedures and timeframes established by Ukrainian law and this Offer.
5.4. By making a charitable donation, the Donor confirms their capacity voluntariness in entering into the transaction and asserts that the subject of the charitable donation is not prohibited, seized, mortgaged, or burdened with any other third-party rights and was not obtained in violation of the Law of Ukraine “On Prevention and Counteraction to the Legalization (Laundering) of Proceeds from Crime, Financing of Terrorism and Financing of the Proliferation of Weapons of Mass Destruction.” If the Organization has reasonable doubts about these statements, it has the right to request them, and the Donor must provide relevant supporting evidence.
Acceptance
6.1. Acceptance – full and unconditional acceptance of the Public Offer by taking actions related to making a money transfer using the payment forms and means posted on the Website or by transferring funds to the Organization’s bank account through banking institutions. The date of Acceptance is when the money transfer is made, and funds are credited to the Organization’s bank account.
6.2. The Acceptance of the Offer signifies that the Donor agrees with all of its provisions and fully understands and agrees with the subject of the Agreement, the purpose of the public donation collection, and the Organization’s right to use part of the Donor’s charitable donation for administrative expenses, in an amount not exceeding that provided by Ukrainian law.
6.3. The Donor and the Organization, guided by Articles 639, 641, and 642 of the Civil Code of Ukraine, agree that from the moment of Acceptance, the Agreement is considered concluded. At the same time, the Parties agree that the failure of the Parties to comply with the written form of the transaction does not render it invalid.
6.4. The Organization processes the Donor’s data provided when visiting the Website and making a money transfer (from now on – personal data) to properly implement this Agreement and its statutory activities. Detailed information on the procedure for processing personal data by the Organization is posted in the Privacy Policy.
Final Provisions
7.1. The provisions of current Ukrainian legislation govern the relations between the Donor and the Organization.
7.2. The Organization’s liability for breach of this Agreement or improper use of charitable donations arises on the grounds, in the amount, and the manner provided by Ukrainian law.
7.3. If disputes arise between the parties to this Agreement, they must be resolved through negotiations. If disputes cannot be resolved through negotiations, courts consider them as established by current Ukrainian legislation.
